TERMS AND CONDITIONS

1. Acceptance: By hiring or engaging Firm Accountant Services (KP Bookkeeping Services LLC.) to provide accountancy services, you are accepting and agreeing to be bound by (KP Bookkeeping Services LLC.) terms and conditions set out herein, as may be amended from time to time.

2. Scope of services: (KP Bookkeeping Services LLC.) shall provide the services outlined in the engagement letter or contract agreed upon with you (hereafter referred to as “Engagement”).

3. Payment for services: Payment for services rendered by (KP Bookkeeping Services LLC.) shall be as outlined in the Engagement. All fees shall be due at the start of the services

provided and shall be paid to (KP Bookkeeping Services LLC.) within thirty (30) days from the date of invoice. Any disputes of invoices shall be submitted in writing to (KP Bookkeeping Services LLC.) within thirty (30) days of the date of the invoice. All invoices must be paid in full before the Firm will provide any additional services or deliverables.

4. Expenses: All travel, accommodation, and related expenses shall be billed in addition to any fees as outlined in the Engagement.

5. Cancellations and suspension: (KP Bookkeeping Services LLC.) reserves the right to cancel or suspend an engagement for any reason at its discretion. If the Firm cancels or suspends an engagement, you will remain liable for all fees, costs, and expenses incurred up to the date of cancellation or suspension.

6. Limitation of liability: In no event will (KP Bookkeeping Services LLC.) be liable for any indirect, incidental, punitive, or consequential damages, including lost profits, arising out of or related to this engagement. The aggregate limit of liability for any damages relating to this engagement shall be limited to the total amount paid to the Firm for services rendered under this Engagement.

7. Compliance with laws: You acknowledge and agree that (KP Bookkeeping Services LLC.) will comply with all applicable laws, rules, and regulations applicable to its practice or performance of its services, and you are solely responsible for ensuring that you have complied with all such laws, rules, and regulations.

8. Disclaimer: You acknowledge and agree that any advice given or statements made by (KP Bookkeeping Services LLC.) are provided on an "as is" basis and should not be relied upon without further consultation with competent advisors. You hereby waive any claim against (KP Bookkeeping Services LLC.) based upon such advice or statements.

9. Indemnity: You agree to indemnify and hold harmless (KP Bookkeeping Services LLC.) from and against all claims, suits, losses, damages, liabilities, and expenses (including reasonable attorney fees) incurred by (KP Bookkeeping Services LLC.) as a result of any breach or alleged breach of any of the terms and conditions contained herein or in any document or agreement related to this engagement.

10. Termination: This engagement shall remain in effect until the completion of the services or until terminated by either party. Either party may terminate this engagement at any time upon written notice to the other party. In the event of termination, all fees and expenses due to (KP Bookkeeping Services LLC.) shall be payable immediately.

11. Assignment: This engagement may not be assigned or delegated by either party without the prior written consent of the other party.

12. Governing law: This engagement shall be governed by and interpreted under

the laws of [CA], without regard to its choice of law principles.

13. Dispute resolution: All disputes arising from this engagement shall be subject to binding arbitration as provided by law.

14. Entire agreement: This agreement, including the Engagement, constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, written or oral, relating to the subject matter herein
